2. Purpose
This Agreement covers how Contractor is paid for websites Contractor originates, builds, and delivers under the Company’s process. It does not replace the NDA or other onboarding documents already signed.
3. Work model
1. Contractor finds / works with their own clients, builds and revises the websites, then uploads completed work to Contractor’s Company project folder.
2. Company places the site on Company servers and sets up the client’s payment / billing.
3. After go-live and billing setup, the client relationship and hosting/billing are Company’s responsibility.
4. Later redesigns or major changes may be handled by Company or Contractor, depending on what the client chooses.
4. Compensation
Company pays Contractor $19.00 (USD) per calendar month for each qualifying website.
A website is qualifying for a given month when all of the following are true:
• The site was delivered through Contractor’s workflow and is live on Company infrastructure; and
• The client’s monthly payment for that site has been successfully received by Company for that month (or Company has otherwise confirmed that month’s client payment is collected).
Not included in the $19/month unless Company agrees in writing: one-time build bonuses, ads, extra products, or work outside this website-rental structure.
5. When monthly pay starts
Monthly pay for a site begins with the first month Company successfully collects that client’s recurring payment after the site is live and billing is active (or the next full billing cycle Company designates in writing).
6. Payment timing and grace / buffer
• Company targets Contractor payouts once per month, after Company has reviewed which sites have collected client payments.
• Company may hold a buffer / grace period so declined or failed client card charges can clear before Contractor is paid for those sites.
• Company does not owe the $19 for any site-month where the client’s payment was not collected.
• When a late client payment later clears, Company will include that site’s $19 in a later payout (typically the next monthly cycle after collection).
• Contractor understands client billing is automated (e.g. Stripe → Company’s bank), and Contractor payouts are a separate monthly transfer from Company to Contractor.
7. How Company pays Contractor
Company will pay by the method Contractor enrolls below (Zelle preferred). Contractor must keep payout details current. Failed payouts caused by wrong info may delay payment until corrected.
8. Good Standing
Contractor is in Good Standing only when all of the following are true:
1. Contractor has successfully completed Company training and Company has activated Contractor for paid website work under this Agreement; and
2. Contractor remains an active independent contractor with K-Wired, LLC (not resigned, not terminated); and
3. Contractor meets the Annual New-Client Minimum in each Applicable Measurement Year (defined below).
9. Annual New-Client Minimum
In each Applicable Measurement Year, Contractor must deliver at least four (4) new qualifying website clients through Company’s process (built/delivered by Contractor, placed live by Company, and set up on Company client billing).
• “New” means first go-live / first billing setup for that client in that Measurement Year (not renewals of existing sites).
• Measurement Year = calendar year January 1 – December 31.
When the minimum starts (training year exempt): The Annual New-Client Minimum does not apply during the calendar year in which Contractor successfully completes training.
• Training Completion Date = the date Company records that Contractor finished training (and is cleared to begin paid website work).
• The first Applicable Measurement Year is the next full calendar year after the Training Completion Date: January 1 – December 31 of that following year.
• Example: If training is completed in 2026 (any date), the 4-new-client minimum first applies in 2027 (January 1 – December 31, 2027), and then every calendar year after that while this Agreement remains in effect.
• Until the first Applicable Measurement Year begins, Contractor may still earn $19/month per qualifying website under the pay rules in this Agreement, but cannot be found out of Good Standing for missing the 4-client minimum.
Purpose. The minimum exists so Company can recover its cost of providing Contractor’s initial required programs/tools and keep the contractor program sustainable. Delaying the minimum until the year after training ensures Contractor is not obligated to that production standard until training is complete.
10. Effect of Good Standing on pay
• While Contractor is in Good Standing, Contractor may receive the $19/month per qualifying website under this Agreement for months when the client payment is collected.
• If Contractor falls out of Good Standing (including failure to meet the Annual New-Client Minimum in an Applicable Measurement Year), Company may suspend payouts, end new assignments, and/or terminate this Agreement.
• Monthly payments under this Agreement stop when Contractor leaves K-Wired, LLC, or when this Agreement is terminated (voluntary or by Company), effective as of the termination/leave date Company records.
• Already earned amounts: If a client month was successfully collected before the leave/termination effective date, and that site-month was owed under the compensation rules, Company will still include it in the normal payout cycle. No new site-months accrue after leave/termination.
11. Termination related to the minimum
Failure to meet the Annual New-Client Minimum in an Applicable Measurement Year is a material failure of Contractor’s performance under this Agreement. Company may terminate this Agreement for that reason (and for other material failures, or for convenience with written notice).
This minimum-based termination right does not apply until the first Applicable Measurement Year has begun (the calendar year after training completion).
Contractor agrees that continuing eligibility for the contractor program and for ongoing monthly website payments depends on maintaining Good Standing, including the four (4) new website clients per Applicable Measurement Year requirement.
12. Records
Company’s billing and payout records are the source of truth for which sites and months were paid. Contractor may ask for a simple monthly tally of sites included in a payout.
13. Term
This Agreement starts on the date both parties sign (or the date Company activates Contractor for paid website work after training). Either party may end future website assignments with written notice. Amounts already earned for collected client months remain payable under the rules above.
